Zhu v. Pang — 2023 ONSC 6845

Pointes Protection — 2020 SCC 22

Opinion on Governance and Accountability at the Korean Association

The Lawsuit Has Been Discontinued,
but Answers Are Still Owed

Asking how the Korean Association’s funds were used, and requesting supporting records and explanations, is part of holding a community organization accountable. If a question contains an error, the organization can correct it with records. If an expenditure was legitimate, it can provide the supporting documentation. That is how trust is earned among members and within the Korean community.

But when a person who asks questions is sued for defamation, spends more than two years defending the case, and then sees the lawsuit discontinued, who takes responsibility for the burden that person has carried? The end of court proceedings does not erase the burden borne by the individual or the questions about the organization’s management.

1. Related Canadian Cases

There have been cases in Canada in which criticism of organizational governance or matters of public interest led to litigation.

Zhu v. Pang — 2023 ONSC 6845

A former executive chairman of a non-profit organization brought a defamation action against people who had criticized matters including its election practices and lack of financial transparency. The Ontario court dismissed the action, taking into account, among other considerations, the public interest in protecting the expression.

Pointes Protection — 2020 SCC 22

A developer sued a residents’ association for $6 million after its representative testified about the environmental effects of a proposed development. The Supreme Court of Canada upheld the dismissal of the lawsuit. The case illustrates how litigation can burden critical expression and discourage participation in matters of public interest.

The concerns illustrated by these cases extend beyond the outcome of litigation. They also include the time and expense individuals must bear in defending themselves, and the chilling effect on other members who witness what happens.

2. Questions That Require Answers in Hong Young Sup’s Case

In Hong Young Sup’s case, important questions still require answers.

  1. Why did requests for information and supporting records about the Korean Association’s use of funds lead to a defamation lawsuit against an individual?
  2. Who proposed the lawsuit, and through what decision-making and approval process was it commenced?
  3. Why was the lawsuit discontinued after more than two years?
  4. How much was spent on legal fees, and who paid them?

If the Korean Association’s funds were used to pay litigation expenses, the amounts, approval process, and basis for those expenditures must be disclosed. Those who used community funds must explain their decisions and the results to the community.

3. Accountability of Those Who Led and Supported the Litigation

In particular, those who led this litigation and the directors who supported commencing and pursuing it must explain the grounds on which each considered the lawsuit necessary, the decisions they made concerning responsibility for litigation costs and the expenditure of funds, and their position on the discontinuance of the lawsuit and its outcome.

They must also disclose who proposed the lawsuit, who supported it, and who authorized the expenditures.

The fact that decisions were made in the Korean Association’s name does not remove the responsibility of those who led and supported those decisions to account for them. Individual judgment and responsibility cannot be hidden behind the organization’s name.

4. The Individual Burden and the Impact on the Community

An organization and an individual may bear very different burdens in litigation. While an organization draws on collective resources, an individual must spend personal funds and sacrifice time otherwise devoted to earning a living and being with family. If other members begin to fear that asking questions could expose them to a lawsuit, the consequences extend beyond one person to the entire community.

Discontinuing a lawsuit cannot restore the money, working time, and everyday life that an individual sacrificed in defending it. The Korean Association builds its reputation and earns trust by disclosing records, answering questions, and taking responsibility for its decisions.

5. An Opinion on All Lawyers’ Fees Incurred by Hong Young Sup

In my view, Hong Young Sup’s sustained efforts to challenge what I consider unfair treatment by the Korean Association have reminded us all of the importance of courage and justice. The burden he has borne while seeking transparency in the use of community funds should not be left to him alone.

Should the Korean Association not cover all lawyers’ fees he has incurred to date in defending this lawsuit?

The Association and the directors who led and supported the litigation should also state their position on this issue clearly.

Discontinuing a lawsuit does not end
the obligation to explain.

The Korean Association and those who led and supported the litigation must now account for the course and cost of the lawsuit, disclose how funds were used, and answer the outstanding questions concerning its finances. That is the minimum responsibility they owe both to the individual who asked the questions and to the Korean community.
